Please read this Nutramax Privacy Policy (this “Privacy Policy”) carefully. This Privacy Policy describes how Nutramax Laboratories, Inc. and its subsidiaries and other affiliates, including Nutramax Laboratories Veterinary Sciences, Inc. and Nutramax Laboratories Consumer Care, Inc. (collectively, "Nutramax," "we", "us" or "our"), process and use the personal information we collect through our website and online services which provide this Privacy Policy (“Websites”) and our interactions with you over the phone or offline related to our products and services (collectively, “Operations”).

We may update this Privacy Policy from time to time, and the updated Privacy Policy applies to you after the effective date stated in the revised Privacy Policy. If we change this Privacy Policy in a material way, we will provide appropriate notice to you such as posting a prominent notice on our Websites or emailing you if you provided your email address to us.

This Privacy Policy explains what information we collect about consumers, veterinarians, and medical professionals, and our suppliers, consultants, contractors, service providers, vendors and other providers (collectively, “you” or “your”); how we collect your information; how we use the information we collect; to whom we may disclose the information we collect; the choices you may have with respect to that information; and what you should do if you have any questions or comments.

Please note the Websites are provided only for residents of the United States who are the age of 18 or above, and access to and use of the Websites are subject to laws of the United States and our Terms of Use.

1. What Type of Information is Collected and How Do We Use It?

Information You Provide Us:  You may provide information to us using the interactive functions of the Websites or through offline interactions such as through phone calls or at a tradeshow. The information we collect includes personal information such as a name, address, ZIP code, e-mail address, credit card number, telephone and fax number(s), account login information, professional information, images you upload, success stories and other content you upload or provide us, your pet name(s) and health condition(s), and demographic information such as gender or similar information. We may also ask you certain questions to better meet your needs and respond to your inquiries concerning our products and services.

We also collect information automatically as described below.

Website Usage Information & Device Identifiers:  We or our third-party service providers may receive, collect, and store certain types of network and usage information whenever you visit or interact with the Websites. For example, we may collect information about the page served, the time spent on a page, the source and terms used to request or find a page, the type of browser making the request, the preceding and subsequent page viewed and other similar information. We may also collect your Internet Protocol (IP) address or some other unique numeric identifier for the particular device you use to access the Internet, as applicable (collectively referred to as "Device Identifiers"). A Device Identifier is a number that is automatically assigned to your computer, your mobile device, or other device used to access the Internet, and our computers identify your device by its Device Identifier. We may associate your Device Identifier with other information you provide. When analyzed, Website usage information helps us determine how visitors arrive at the Websites, what types of content are most popular, what types of content you may find most relevant, and what types of visitors are interested in particular kinds of content and advertising. Additionally, we and our service providers may monitor access to and use of our Websites. For example, we or our service providers may log the details of your visit to the Websites such as clicks, page visits, text entered, how long you spent on a page, and other details of your visits to or actions on the Websites.

Cookies:   We or our third-party service providers may utilize cookies, which are small data files placed and stored on your computer (or any other Internet-accessing device) when you visit our Websites. A cookie file can contain various types of information such as a user ID that identifies your computer or browser. We use cookies that are necessary for our Websites to work correctly and to allow you to use some of their features, to understand how you use our Websites so we can improve our Websites’ content and performance, to help us understand your interests so that we can provide you with a more personalized experience across our digital and in-person interactions, and to provide ads more relevant to you. We may also use cookies as a mechanism for creating a user "session," tracking a user as he or she moves among pages of the Websites, or to identify a user in a database. You can adjust your browser settings to accept or reject certain cookies. However, if you decide not to accept certain cookies from our Websites, you may not be able to take advantage of all available features.

Web Beacons:  The Websites and our e-mail messages may also utilize web beacons, pixel tags or similar technologies, which are small graphic images or other web programming code (also known as "1x1 GIFs", "clear GIFs", “pixel tags” or “single-pixel gifs”) that allow monitoring and collection of information about the user of a web page, web-based document, or message sent by the Websites or in emails or other electronic communications such as the type of browser/device and software accessing the Websites. Web beacons may be invisible to you, but any electronic image or other web programming code inserted into a web page or e-mail can act as a web beacon. Web beacons and similar technologies may be used for a variety of purposes, including, without limitation, to serve users with relevant content at the Websites, count Website visitors, and monitor Website traffic patterns.

Mobile Device Identifiers:  We or our third-party service providers may receive, collect, and store mobile device information if you access the Websites through mobile devices or mobile device applications.

Geolocation Data:  We or our third-party service providers may collect your IP addresses from which coarse physical location information may be derived.

We also receive some personal information from others, for example:

Social Media Sites:  We may receive information about you from third parties such as social media sites. The information we have access to from third parties varies and is controlled by the third parties based on their privacy policies. We are not responsible for their privacy practices, and we encourage you to read and understand the privacy policies of any relevant third parties.

Other Customers and Business Partners:  We may receive information about you from our customers and business partners such as your name, company, and contact information.

We may use the information we collect from you to:

• Process transactions;
• Send you newsletters, e-mails and/or other non-transactional communications;
• Communicate with you regarding transactions between you and us (e.g., fulfilling and modifying orders, checking shipping and shipping status etc.);
• Authorize or decline a new account request (e.g., for the Vet & Medical Portal);
• Contact you regarding a sweepstakes, contest, or promotion in which you have participated;
• Monitor and statistically analyze usage of the Websites and to improve the Websites and/or product offerings;
• Administer the Websites’ systems and for other internal business purposes;
• Assess your qualifications as a program enrollee (in the case of student/faculty/clinic staff/clinic owner or administrator programs) or as a supplier, consultant, contractor, service provider or vendor in our due diligence process;
• Manage, administrate, and oversee your relationship with us (including complying with individuals’ opt-out requests);
• Contact you about the Websites, including, without limitation, in our discretion to notify you of changes to this Privacy Policy, our  Terms of Use, or other policies that affect your use of the Websites;
• Contact you regarding comments, questions, or requests that you may have provided or information that you have requested from us;
• Customize the advertising and content you see, including targeted offers and ads through our Websites, third-party sites, and via email (with your consent, where required by law);
• Interact with you on other websites that are designed to enhance interpersonal, business to consumer and consumer to consumer interactions such as our social media websites;
• Manage and collaborate with supply chains;
• Conduct strategic sourcing and procurement;
• Manage contract lifecycle, invoices and payments;
• Manage an audit service and product quality;
• Comply with and monitor compliance with legal obligations, our Terms of Use and other applicable agreements and policies;
• Protect against, identify and prevent fraud and other crime, claims and other liabilities;
• Protect the security of our online services;
• Establish, exercise, or defend a legal claim; or
• Evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by us is among the assets transferred;
• Process for additional purposes as otherwise disclosed to you.

2. Disclosure of Personal Information to Third Parties

We may disclose personal information as described below and as may be additionally communicated to you at the time you provide your information:

Third Parties Providing Services on Our Behalf: We employ third parties, including our affiliates, subsidiaries, and service providers, to perform functions on our behalf. Examples include our affiliates, subsidiaries, service providers, and other processors hosting or operating the Websites, processing and/or fulfilling orders for products purchased through the Websites, sending e-mail and/or other communications, maintaining customer and user information and databases, and processing credit card payments. These third parties may have access to your personal information in connection with performing such functions.

Sweepstakes, Contests and Promotions: We may offer sweepstakes, contests and other promotions that may require registration. If you choose to enter a sweepstakes, contest or other promotion, your personal information may be disclosed to third parties in connection with the administration of such promotion, including, without limitation, in connection with winner selection, prize fulfilment, and as required by law, such as being included on a winners list.

Business Transfers: We may disclose the information we collect to our affiliates and divisions for our Operations. If we transfer any of our business, either by selling our assets, merging, consolidating, divestiture, restructuring, reorganizing, dissolution, or by other means such as by a stock sale or other sales or transaction in which we effectively transfer all or a portion of our business, or other corporate change (including, without limitation, during the course of any due diligence process), we reserve the right to disclose and transfer our assets, including, without limitation, all information you have provided to us or that we have otherwise collected about you.

Legal Protections and Law Enforcement: We may disclose your information, including personal information, by compulsion of law, in response to a court or administrative order, regulation, search warrant, subpoena, discovery request or other valid law enforcement measure, to comply with a legal obligation, at the request of governmental authorities conducting an investigation, to verify or enforce compliance with the policies governing our Operations, including this Privacy Policy, the Terms of Use, and any other agreements between you and us, to comply with applicable laws, or to protect the legal rights, interests, or safety of our Operations, our users or others.

Aggregate Information: We may also provide third parties with non-personal information such as aggregate information regarding demographic information and Website usage information, without restriction. For example, third parties may have access to information regarding the number of unique page requests, unique users of our Websites, and aggregate information on the types of activities users conducted while on our Websites.

3. Third-Party Ad Serving and Traffic Analysis and Measurement Services.

The Websites may use third-party network advertisers to serve advertisements on the Websites and may use a traffic measurement service to analyze traffic on the Websites. Network advertisers are third parties that display advertisements on the Websites, which may be based on your visits to the Websites and your online activities over time and across different websites and other online services. Third-party ad serving enables network advertisers to provide you with advertisements for products and services in which you might be interested. The Websites’ third-party ad network providers, advertisers, and/or traffic measurement services may set and access third-party cookies on your computer, alone or in conjunction with web beacons or other tracking technologies, if you have those cookies enabled in your browser. These cookies are set to, among other things, help deliver advertisements to you that you might be interested in, to prevent you from seeing the same advertisements too many times, and to conduct research regarding the usefulness of certain advertisements to you. 4. Security for Personally Identifiable Information.

We make reasonable efforts to protect and secure your personal information against unauthorized access or accidental loss. Although we endeavor to protect your personal information, please remember that the security measures taken are not foolproof; no security measures can guarantee that personal information will be protected in all situations. We encourage you to use caution when using the Internet. This includes not sharing your user ID and password with anyone. You are responsible for protecting your user ID and password you use to access our Websites.

5. Retention

Nutramax retains personal information for the length of time needed to carry out the processing purposes described in the Privacy Policy. We also retain information for related business purposes, security, legal compliance, and disputes and claims handling, consistent with our retention policy and as permitted by applicable law.

6. Your Choices

The Websites may contain web pages through which you can change your preferences or update the personal information you have provided to us. You can contact us as provided below in our “Contact Information” Section to: (i) correct the personal information that we store about you; or (ii) delete personal information that refers or relates to you. If you register to receive e-mail or other electronic communications from one of our divisions, you may unsubscribe by following the instructions provided to you in the applicable communication.

7. Third Party Content and Links to Other Websites

When you are on the Websites, you may be directed to other websites that are operated and controlled by third parties that are beyond our control such as our social media sites. This Privacy Policy does not apply to the privacy practices of these third-party websites. These other websites may send their own cookies to you, may independently collect data or solicit personal information and may or may not have their own published privacy policies. If you visit a website that is linked from our Websites, you should consult that website’s privacy policy before providing any personal information.

8. Nevada Privacy Rights

Nevada law (N.R.S. § 603A.345) permits customers in Nevada to opt out of the sale of personal information. We do not sell your personal information to third parties for monetary consideration. If you are a Nevada resident and have questions, please contact us as provided below in our “Contact Information” Section.

9. California Addendum

This “California Addendum – California Privacy Policy” Section (“California Addendum”) supplements the information contained in the Privacy Policy above and applies to California consumers as defined in the California Consumer Privacy Act of 2018, as amended (“CCPA”). For California consumers, the provisions of this California Addendum prevail over any conflicting provisions in other sections of this Privacy Policy. We share, and in the past 12 months have shared, personal information of consumers such as your use of our Websites with our analytics, marketing and advertising partners for cross-context advertising purposes. Otherwise, we do not sell, and in the past 12 months have not sold, personal information for monetary or other valuable consideration. Additionally, we do not sell or share, and in the past 12 months have not sold or shared, personal information of individuals we know to be under 16 years of age.

Information We Collect

We collect, and within the last twelve (12) months, we have collected the following categories of personal information from the sources listed below.

Sources: We collect the categories of personal information listed above from the following categories of sources and as further described in the “Information We Collect and How We Use It” Section of the Privacy Policy:

• Directly from you. For example, you may provide your information to us using the interactive functions of the Websites such as when you create an account on our Websites, or submit a question on our Contact Us webpage, or through offline interactions such as at a tradeshow or when you contact our customer service department (which may be monitored and retained).
• Indirectly from activity on our Websites. For example, our Websites may collect information based on your access to and use of our Websites.
• From third parties that interact with us in connection with the services we perform or receive and for our Operations (for example, from social media sites).

Use and Retention of Personal Information

We use personal information for various business purposes which include purposes disclosed in the “Information We Collect and How We Use It” Section of this Privacy Policy, purposes compatible with the context in which the personal information was collected, or with your consent. For example, business purposes include auditing, helping to ensure security and integrity, debugging, short-term, transient use, performing services, providing advertising and marketing services, undertaking internal research for technological development and demonstration, or undertaking activities to verify or maintain the quality or safety of a service or device.

We retain each category of personal information as described in the “Retention” Section of the Privacy Policy. In certain instances, we may maintain and use information in deidentified form. If we do so, we do not attempt to reidentify the information, except for the sole purpose of determining whether our deidentification processes satisfy requirements under applicable law.

Discolosing Personal Information

In the preceding twelve (12) months, we have disclosed substantially all categories of personal information for our business purposes, including to our subsidiaries, affiliates, and service providers. We also share personal information for cross-context advertising purposes. To learn more about our data sharing practice with our analytics, marketing and advertising partners as well as the business purposes for which we disclose personal information and the categories of third parties to whom we disclose personal information, see the “Third-Party Ad Serving, Traffic Analysis, and Measurement Services” Section and the “Disclosure of Personal Information to Third Parties” Section of this Privacy Policy.

Your Rights and Choices

If you are a resident of California, you may have one or more of the following rights.

Right to Know

You have the right to know about our collection and use of your personal information (the “right to know”). Once we receive your request and verify your identity (see “Exercising Your Rights” Section), we will disclose to you:

• The categories of personal information we collected about you.
• The categories of sources for the personal information we collected about you.
• Our business or commercial purpose for collecting, selling, or sharing that personal information.
• The categories of third parties to whom we disclose that personal information.
• The specific pieces of personal information we collected about you, to the extent technically feasible, in a structured, commonly used, machine-readable format that may also be transmitted to another entity at your request without hindrance (also called a data portability request).

Right to Correct

You have the right to correct inaccurate personal information that we have collected about you. Once we receive your request and verify your identity (see “Exercising Your Rights” Section), we will correct inaccurate personal information as required by law.

Right to Delete

You have the right to delete your personal information that we collected from you and retained, subject to certain exceptions. Once we receive your request and verify your identity (see “Exercising Your Rights” Section), we will delete or deidentify personal information direct our service providers to take similar action.

Right to Opt Out of Sale or Sharing

You have the right to opt out of (a) the disclosure of personal information about you for monetary or other valuable consideration and (b) the sharing of personal information about you for cross-context behavioral advertising.

To exercise the right to opt out, you can install the Global Privacy Control (“GPC”) on your browser, and our Websites will process opt-out preference signals from GPC as opted out from sales or sharing of personal information to the extent we engage in such processing. GPC is a browser-level technical specification that you can use to inform websites that you opt out of sales or sharing of data for cross-context behavioral advertising. Right to Limit the Use or Disclosure of Sensitive Personal Information

We do not use or disclose sensitive personal information for purposes that, under the CCPA, require us to support the right to limit the use or disclosure of sensitive personal information.

Right to Not Receive Discriminatory Treatment

California residents have the right not to receive discriminatory treatment for the exercise of privacy rights conferred by the CCPA, including the right not to be retaliated against for the exercise of your rights. We will not discriminate against you for exercising any of your rights. Unless permitted by the CCPA, we will not:

• Deny you goods or services.
• Charge you different prices or rates for goods or services, including through granting discounts or other benefits, or imposing penalties.
• Provide you a different level or quality of goods or services.
• Suggest that you may receive a different price or rate for goods or services or a different level or quality of goods or services.

As further detailed in the “Notice of Financial Incentives” Section, however, we may make different offers to consumers that have opted into a financial incentive. The value of the financial incentive to you will reasonably relate to your personal information’s value as described in the “Notice of Financial Incentives” Section below.

Exercising Your Rights

Under the CCPA, you may designate an authorized agent to make a request on your behalf. You may make such a designation by providing the agent with written permission to act on your behalf. We will require the agent to provide proof of that written permission. To the extent permitted by law, we may require you to verify your own identity in response to a request, even if you choose to use an agent.

Pursuant to the CCPA, we take steps to verify your identity before granting you access to information or acting on your request to exercise your rights. We may require you to provide your name, email address, address, and last transaction date/amount to verify your identity in response to exercising requests of the above type, where such verification is required. We may deny your privacy requests or limit our response to your exercise of the above rights as permitted under the CCPA. If we do so, we will inform you of the basis for our decision. When you submit a request to exercise your rights above, we will use the information you provide to process your request and maintain a record of your request and our response as required by the CCPA.

Data Sharing for Third Party’s Direct Marketing Purposes

California Civil Code Section § 1798.83 permits California residents to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes. If you are a California resident, you may ask us to refrain from disclosing your personal information to certain of our affiliates and other third parties for their marketing purposes. To make such a request, please contact us as provided below in our “Contact Information” Section. However, we do not sell your personal information to third parties for their direct marketing purposes.

Do Not Track

Please note that our Websites are not designed to respond to "do not track" requests from web browsers. However, we respond to GPC signals as the opt-out preference signal as described in the “Right to Opt Out of Sale or Sharing” Section.

10. Notice of Financial Incentives

This Notice of Financial Incentives applies to the Clinic Owner/Administrator Program, the Clinic Staff Program, the Vet Student Program, and the Vet Faculty Program (collectively, the “Programs”). We reserve the right to add financial incentives to this Notice of Financial Incentives or to terminate the Programs at any time at our sole discretion.

Programs Detail

Summary of the Incentives:

If you are a clinic owner or clinic administrator who manages a clinic, by enrolling in the Clinic Owner/Administrator Program, you may purchase veterinarian products on the Nutramax Websites for business use at discounted rates. Additionally, you may receive offers to purchase eligible products for personal use at discounted rates, with free shipping for qualified purchases.

A clinical staff member may enroll in the Clinic Staff Program to receive offers to purchase eligible products for personal use at discounted rates, with free shipping for qualified purchases.

A veterinarian student may enroll in the Vet Student Program to receive offers to purchase eligible products for personal use at discounted rates, with free shipping for qualified purchases. Additionally, you may receive three complimentary veterinarian products upon approval of your enrollment.

A veterinary faculty staff may enroll in the Vet Faculty Program to receive offers to purchase eligible products for personal use at discounted rates, with free shipping for qualified purchases.

The categories of personal information collected include:

• Identifiers (e.g., name, email address, password, physical address, phone number).
• Personal information described in Subdivision (e) of Section 1798.80 (California customer records statute) (e.g., credit card number or other payment information).
• Commercial Information (e.g., products or services purchased, obtained, or considered, or other purchasing or consuming histories or tendencies).
• Internet/Network Activity (e.g., browsing history or search history on the Websites).
• Professional information (occupation, employer information).
• Inferences from personal information collected (e.g., customer profiles such as shopping preferences).

We disclose personal information to the categories of third parties listed in the “Disclosure of Personal Information to Third Parties” Section. We do not disclose personal information collected in connection with the Programs to data brokers. We may disclose substantially all categories of personal information above to our social media, advertising, and analytics partners. We may process and share this information for cross-context behavioral advertising.

How to Opt In to the Program

Value of Data

In our good faith calculation, we consider the value of data collected through the Programs as the equivalent of relevant expenses related to the collection and retention of personal information as part of the Programs. The financial incentives we offer to a consumer through the Programs are reasonably related to the value of the consumer’s data.

Withdrawal from the Program

You have the right to withdraw from the Programs at any time. You may withdraw your consent by filling out a request form on our Contact Us webpage or contacting us as set forth in the “Contact Information” Section.
